## 1. Parties and scope

These Terms of Service ("Terms") govern access to and use of the GNOM websites, application, APIs, smart-contract interfaces, documentation, community features, project creation tools, funding flows, token claim flows, and related services (collectively, the "Services").

GNOM means `[LEGAL_ENTITY_NAME]`, a `[LEGAL_ENTITY_TYPE]` organized in `[LEGAL_ENTITY_JURISDICTION]`, with a principal address at `[LEGAL_ENTITY_ADDRESS]` ("GNOM", "we", "us", or "our").

By accessing or using the Services, connecting a wallet, creating a project, contributing funds, claiming tokens, submitting content, or interacting with GNOM smart contracts through the Services, you agree to these Terms.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

## 2. Important crypto and platform disclosures

GNOM is an early-stage decentralized software platform. The Services may include blockchain transactions, wallet signatures, token-related mechanics, community voting, AI-assisted project generation, staged funding, and project-token allocation flows.

You acknowledge and agree that:

- GNOM does not provide legal, tax, investment, financial, accounting, brokerage, custody, banking, exchange, or money transmission advice.
- Nothing in the Services is an offer to sell, solicitation to buy, recommendation, endorsement, or promise of value for any token, security, commodity, investment product, or financial instrument.
- GNOM, ProjectTokens, task rewards, reputation, governance rights, vesting rights, or any other digital asset or platform right may have no value, may lose all value, may be non-transferable, may be illiquid, may be subject to legal restrictions, and may not be available in all jurisdictions.
- Project funding, activation payments, top-ups, bounties, rewards, or token claims are not deposits, savings products, investment accounts, guaranteed returns, profit-sharing arrangements, or insured accounts.
- Blockchain transactions are generally irreversible, public, and dependent on third-party networks such as Gnosis Chain.
- Smart contracts, wallets, bridges, RPC providers, oracles, decentralized exchanges, indexers, AI systems, and other third-party infrastructure may fail, be exploited, become unavailable, or produce incorrect results.
- You are responsible for evaluating legal, tax, regulatory, and economic risks before using the Services.

## 3. Eligibility

You may use the Services only if you:

- are at least 18 years old, or the age of majority in your jurisdiction if higher;
- have legal capacity to enter into these Terms;
- are not located in, organized in, ordinarily resident in, or acting on behalf of a person located in any jurisdiction where use of the Services is prohibited;
- are not subject to sanctions, export controls, or other restrictions that would make your use unlawful;
- will comply with all laws and regulations that apply to you.

GNOM may restrict, suspend, or terminate access if we believe your use of the Services may violate these Terms, applicable law, sanctions, platform integrity rules, or launch safety requirements.

## 4. Wallets, signatures, and account responsibility

The Services may use wallet-based authentication, including wallet signatures. A signature may prove control of a wallet address, but it does not prove legal identity, authority, ownership of all assets, or compliance status.

You are solely responsible for:

- securing your wallet, private keys, seed phrases, devices, and connected accounts;
- verifying all transaction details before signing;
- ensuring that your wallet address may lawfully interact with the Services;
- all activity associated with your wallet or session.

GNOM cannot recover lost private keys, reverse mistaken transactions, restore wallet access, or guarantee that a connected wallet interface is safe.

## 5. Projects and user-generated content

The Services may allow users to create, submit, edit, fund, comment on, vote on, review, accept, or reject projects, stages, tasks, bounties, deliverables, AI-generated outputs, and related materials ("User Content").

You retain ownership of your User Content, subject to the license below. You represent that you have all rights needed to submit and use your User Content through the Services.

You grant GNOM a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, publish, distribute, modify, adapt, create derivative works from, and otherwise use your User Content as needed to operate, improve, secure, promote, and document the Services.

You must not submit User Content that:

- infringes intellectual property, privacy, publicity, contractual, or other rights;
- is unlawful, fraudulent, misleading, defamatory, harassing, hateful, abusive, exploitative, or harmful;
- contains malware, vulnerabilities, credential theft, spam, scams, or deceptive token promotions;
- promises guaranteed returns, price support, risk-free yield, or misleading financial outcomes;
- violates sanctions, export controls, securities laws, consumer protection laws, or other applicable rules;
- impersonates another person or misrepresents affiliation, project status, funding status, delivery status, token rights, or legal approvals.

GNOM may moderate, remove, hide, label, restrict, or preserve User Content when needed for safety, legal compliance, product integrity, dispute handling, or infrastructure protection.

## 6. AI-assisted outputs

The Services may use AI systems to help generate project descriptions, specifications, code, tasks, reviews, summaries, recommendations, or other outputs.

AI outputs may be incomplete, inaccurate, unsafe, non-compliant, biased, outdated, or unsuitable for your intended use. You are responsible for reviewing, testing, validating, and legally clearing any AI output before relying on it, publishing it, deploying it, funding it, or using it in production.

GNOM does not guarantee that AI outputs are original, secure, compliant, non-infringing, or fit for any particular purpose.

## 7. Funding, activation payments, bounties, and token claims

The Services may include staged project funding, project activation, top-ups, task bounties, rewards, vesting, claims, refunds, and related token or xDAI flows.

You acknowledge and agree that:

- payment amounts, token allocations, unlock schedules, claimability, refunds, and project status may depend on smart-contract state, backend state, governance configuration, stage rules, funding windows, and public-chain execution;
- displayed previews, quotes, estimates, or balances may be delayed, rounded, stale, unavailable, or incorrect;
- fees, gas costs, slippage, failed transactions, bridge delays, RPC failures, and network congestion are your responsibility unless a specific written policy says otherwise;
- project creators, contributors, task workers, backers, voters, and reviewers are independent participants, not agents, employees, fiduciaries, partners, or representatives of GNOM;
- GNOM does not guarantee that any project will be completed, profitable, useful, legal, secure, maintained, adopted, listed, liquid, or available.

Any token or payment mechanics are subject to technical, legal, and governance changes. GNOM may pause, modify, restrict, or discontinue Services where necessary for security, legal compliance, launch safety, or protocol integrity.

## 8. No custody

Unless separately agreed in a written agreement signed by GNOM, GNOM does not custody user funds or private keys. You interact with wallets, smart contracts, and third-party infrastructure at your own risk.

If the Services display balances, claimable amounts, funding progress, or portfolio information, those displays are informational only and may not reflect final legal ownership, settlement, tax basis, or transferable rights.

## 9. Taxes and compliance

You are solely responsible for determining and satisfying any taxes, reporting obligations, registrations, licenses, approvals, restrictions, withholding obligations, or filings that apply to your use of the Services.

GNOM may request information, restrict access, or require additional checks if needed for compliance, fraud prevention, sanctions screening, tax reporting, or legal process.

## 10. Third-party services and links

The Services may link to or integrate with wallets, block explorers, RPC providers, analytics providers, decentralized exchanges, bridges, AI providers, hosting providers, social platforms, community tools, and other third-party services.

GNOM does not control and is not responsible for third-party services. Your use of third-party services may be governed by separate terms and privacy policies.

## 11. Intellectual property

Except for User Content and third-party materials, GNOM and its licensors own all rights in the Services, including software, interfaces, designs, text, graphics, logos, branding, documentation, and platform materials.

Subject to these Terms, GNOM grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose.

You may not copy, modify, distribute, sell, lease, reverse engineer, interfere with, or exploit the Services except as permitted by these Terms, open-source licenses, or applicable law.

## 12. Prohibited conduct

You must not:

- use the Services for unlawful, deceptive, harmful, abusive, or manipulative activity;
- attack, exploit, overload, scrape, spam, probe, bypass, or disrupt the Services or related infrastructure;
- submit false, misleading, or manipulated project, funding, vote, review, identity, wallet, or token information;
- use bots, sybil wallets, wash activity, collusion, bribery, market manipulation, or other schemes to distort platform metrics, funding, voting, rewards, reputation, or claims;
- attempt to steal keys, credentials, funds, tokens, sessions, or data;
- violate intellectual property rights or open-source license obligations;
- use the Services to promote illegal securities offerings, fraud, guaranteed returns, pump-and-dump schemes, sanctions evasion, money laundering, terrorist financing, or other prohibited activity.

## 13. Suspension, termination, and changes

GNOM may suspend, restrict, terminate, or refuse access to any part of the Services at any time where we reasonably believe it is necessary for security, compliance, user protection, infrastructure stability, product integrity, or legal reasons.

We may update these Terms from time to time. Updated Terms will be posted with a new effective date. Continued use of the Services after changes become effective means you accept the updated Terms.

## 14. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.

To the maximum extent permitted by law, GNOM disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, uninterrupted operation, error-free operation, and compatibility with any wallet, chain, token, protocol, device, or third-party service.

GNOM does not warrant that:

- the Services will meet your requirements;
- smart contracts, AI outputs, user projects, third-party integrations, or blockchain networks will be secure, accurate, available, legal, or error-free;
- any project, token, reward, bounty, claim, governance action, or funding flow will produce any expected result;
- any defect, exploit, incorrect state, data loss, or transaction failure can be corrected.

## 15. Limitation of liability

To the maximum extent permitted by law, GNOM and its contributors, developers, officers, directors, employees, contractors, service providers, licensors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for lost profits, lost revenue, lost tokens, lost funds, loss of data, loss of goodwill, business interruption, transaction failures, wallet compromise, smart-contract exploits, market losses, regulatory losses, or tax consequences.

To the maximum extent permitted by law, GNOM's total liability for any claim relating to the Services or these Terms will not exceed the greater of `[LIABILITY_CAP_AMOUNT]` or the amount you paid directly to GNOM for the Services giving rise to the claim during the `[LIABILITY_LOOKBACK_PERIOD]` before the claim arose.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, liability is limited to the maximum extent permitted by law.

## 16. Indemnification

You agree to defend, indemnify, and hold harmless GNOM and its contributors, developers, officers, directors, employees, contractors, service providers, licensors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:

- your use or misuse of the Services;
- your User Content;
- your projects, funding activity, token activity, votes, reviews, bounties, claims, or wallet activity;
- your violation of these Terms, applicable law, or third-party rights;
- any dispute between you and another user, project creator, contributor, task worker, backer, reviewer, voter, or third-party service.

## 17. Governing law and disputes

These Terms are governed by the laws of `[GOVERNING_LAW_JURISDICTION]`, without regard to conflict-of-law rules.

Any dispute arising out of or relating to these Terms or the Services will be resolved in `[COURT_OR_ARBITRATION_FORUM]` located in `[VENUE_LOCATION]`, unless applicable law requires otherwise.
